This program covers the drafting of commercial real estate contracts and market conditions. To effectively produce a real estate contract, an attorney should understand both sides of the agreement. 

Attendees will learn about drafting commercial real estate purchases. Sale agreements and residential contracts will be differentiated. This course will cover the different perspectives between a seller and purchaser within a real estate transaction and how they change within various types of contracts.

This program is designed for recently admitted attorneys and attorneys looking for a refresher in real estate. Attorneys primarily working on residential real estate agreements will also benefit from this course.

Learning Objectives: 

  1. Understand the Seller’s and Purchaser’s perspectives in negotiating a commercial real estate purchase and sale agreement.
  2. Identify how commercial real estate is unique to residential real estate. In a commercial real estate deal, the purchaser buys a going concern.
  3. Assess the importance of representations and warranties in a contract and the survival.
  4. Discuss different types of commercial real estate, how those contracts may differ, and how they differ from corporate deals with Asset Purchase Agreements.
  5. Explore what hot-button issues the parties must work out in commercial real estate contracts.
